The undersigned(s) covenants and agrees that:
Neither the undersigned(s) nor his/her corporation, partnership, divisions, subsidiaries, employees, agents or consultants shall make any contact with, or deal with, or otherwise be involved in any transaction under any circumstances with any lending institution, trust, corporation or individual or otherwise introduced by_______________________________________________________ without receiving written authorization from _______________________________________________________.
Any corporation, organization, firm company or individual of which the undersigned(s) is a party to, member of principal agent for, employee of or otherwise that would benefit financially from association is bound by this Agreement. The undersigned(s) confirm that he/they have the right, authority, power and ability to enter into this Agreement.
This Agreement is a perpetuating guarantee and is to be applied to any and all transactions and/or introductions made by _______________________________________________________ between the parties hereto regardless of the success of the project. This Agreement shall remain in effect for a period of five (5) years from the date of this Agreement.
The undersigned(s) will keep completely confidential the names of any lending institutions(s), trust fund(s), corporation(s), organization(s), and all individuals introduced by _______________________________________________________. Such identity shall remain confidential during this transaction and during the term of this Agreement.
The undersigned(s) agrees that any introduction by _______________________________________________________ to any lending institution(s), trust fund(s), corporation(s), organization(s), and all individual(s) shall obligate the undersigned(s) to do its own due diligence regarding the financial ability and integrity of any introduction made by _______________________________________________________. Furthermore, the undersigned(s) acknowledges that he/they are sophisticated and qualified to transact business of this nature and does so with the understanding that the undersigned(s) hold _______________________________________________________ completely harmless from any introduction. This Agreement has been prepared and accepted in _______________________________________________________ and shall be subject to the laws of the State of ___________________________________________. If such court rules against the undersigned(s), he/they agrees to remunerate _______________________________________________________ the full amounts of remunerations, commissions plus all court and attorney's fees as well as any other charge deemed fair by the court.
